If you are only submitting a URL to be included in the Zunch Directory, the assignment of copyright only applies to the site description that you want included. This copyright assignment does not extend to the actual website or any part of its content.

So that we may take appropriate action in the event of infringements by third parties, and in consideration of the opportunity to use and participate in the Zunch Directory, you agree to assign to Zunch Communications, Inc. the copyright in any material that you create and submit for inclusion or use in the Zunch Directory. Zunch Communications Inc. licenses back to you a nonexclusive, royalty-free right to use any such material. By submitting materials to the Zunch Directory, you warrant that you have all rights necessary to authorize the distribution and re-distribution of any material you submit for inclusion or use in the Zunch Directory.

If you believe your work has been copied and is accessible on the Zunch Directory in a way that constitutes copyright infringement, please contact us immediately.

We reserve the right, in our sole discretion and for any reason, to edit, move or delete any content, including content you provide, on the Zunch Directory. This may include titles and descriptions you have provided. We may terminate all or part of the Zunch Directory without notice or liability for any reason at our sole discretion. You acknowledge and agree that Zunch Communications, Inc. has complete editorial discretion to determine the structure and content of the Zunch directory. You agree to waive any claim related to the inclusion, placement, exclusion, or removal of any site in the Zunch Directory or to the title or description of any site appearing in the Zunch Directory.

Zunch Communications, Inc. maintains, in its sole discretion, the right to reject a submission for any reason. Moreover, we are not responsible for any failure to remove or delay in removing harmful, inaccurate, unlawful, or otherwise objectionable content on the Zunch Directory originating with or otherwise provided by third parties.

Zunch Communications, Inc. may preserve or disclose information about users, including those who submit sites for possible inclusion, if required to do so by law or in the good faith belief that doing so is necessary to (a) comply with legal process; (b) enforce these terms; (c) respond to claims that any content violates the rights of third parties; (d) protect the rights, property, or personal safety of Zunch Communications, Inc., the Zunch Directory and its users, or the public; or (e) administer the Zunch Directory.

If you purchase a Featured Listing and your listing does not meet our guidelines, we will contact you to in order to make necessary changes and corrections to your listing details. If we still cannot approve your listing, a full refund will be issued.

Should you purchase a 48 hour Quick Review and your listing does not meet our guidelines, no refund will be given. We may attempt to edit the details in order to approve the listing, but we reserve the right to reject any listing.

The only personally identifiable information about you that the Zunch Directory receives is any such information that you choose to include in the submission form if you submit a site for consideration for inclusion in the Zunch Directory. We use any such information you submit solely in connection with the provision of the Zunch Directory. We do not use any personally identifiable information you submit for marketing purposes. Zunch Communications, Inc. and the Zunch directory do not share personally identifiable information with any third parties.

When you use or access the Zunch Directory, we receive and store specific information provided by your browser. This information includes your IP address; your browser type; access date and time; the referring Web site address; the Zunch Directory page you requested; and, if you perform of a search, the specific search terms requested. We DO NOT link any of this information with personally identifiable information you have provided, and we do not share this information with any third parties.

Zunch Communications, Inc. and the Zunch Directory make no representations as to the accuracy, quality, availability, completeness or timeliness of the information, products, services, software or materials available on or through the Zunch Directory. Information provided on the Zunch Directory is provided on an “as is, as available” basis. Zunch Communications, Inc., the Zunch Directory, and their employees, representatives and agents are not liable for any errors or omissions in content or delivery. Zunch Communications, Inc., the Zunch Directory, and their employees, representatives and agents are not liable for any form of loss or damage, including any consequential, indirect, incidental, special or exemplary damages that may result from use of the Zunch Directory. Zunch Communications, Inc. and the Zunch Directory expressly disclaim all warranties, including warranties of merchantability, fitness for a particular purpose or non-infringement. No warranty not expressly set forth in this or any agreements with Zunch Communications, Inc. and the Zunch Directory will be valid.

You will indemnify Zunch Communications, Inc. and the Zunch Directory, and their subsidiaries, affiliates, officers, agents, representatives and employees against any claim or demand, including reasonable attorney fees, related in any way to your use or conduct on the Zunch Directory.

Nothing contained herein shall be deemed or construed by you, Zunch Communications, Inc., the Zunch Directory or any third person to create the relationship of principal and agent or of partnership or of joint venture or of any association between Zunch Communications, Inc., the Zunch Directory and you. None of the provisions contained herein nor any acts of the parties shall be deemed to create any such relationship.

You agree to and shall comply with all federal, state, county and municipal laws with respect to your participation in the Zunch Directory.

This Agreement shall be governed by and in accordance with the laws of the State of Texas. Any legal action arising pursuant to this Agreement shall be brought in a court of competent jurisdiction in Dallas County, Texas.

This Agreement constitutes the entire agreement between you and Zunch Communications, Inc., and governs your use of the Zunch Directory, superseding any prior agreements. Interpretations of the Agreement and determinations that you have breached the Agreement will be made at our reasonable discretion and based on facts known to us. If any provision of this Agreement is invalid, the Agreement should be interpreted to affect the intent of the parties, and the remaining provisions will remain in effect. The section titles in this Agreement are for convenience only and have no substantive effect.
